DELIVERY
(a) As per standard manufacturing process and the top- quality standards the factory, the standard delivery terms
will be 60 days from the date of final production measurements released from site.
(b) If any dates are shown in this document, these can only be estimates. Actual dates may vary. The Buyer shall be
kept informed about the dates when products will be shipped and installation can commence at site. As far as
possible, agreed delivery dates would be maintained. However, this excludes delay due to reasons beyond the
control of HIFAB. Time is not the essence of the contract.
(c) In the event of special glass or hardware being requested by the Buyer, the delivery times for HIFAB will depend
on the delivery times given by the manufacturer/supplier. It is clearly understood that in such cases more than 6-8
weeks may get added to the standard delivery times.
(d) It is clearly understood by the Buyer that in case of any changes requested by the Buyer after the contract is
signed, the delivery period shall be calculated from the date of such variation and NOT the original agreed dates.
(e) The Buyer will permit HIFAB (and their agents, employees and contractors) access to the installation site at all
reasonable times so that the installation is completed on time without any delays.
(f) HIFAB Windows are to be installed on immediate basis, as system windows/doors are not meant for storage. The
Buyer agree to pay all the entire value including permit charges and installation charges immediately on intimation
of production.
(g) After 15 days of Manufacturing of windows, HIFAB will not store the goods at the factory. In case of delay in
delivery due to site conditions, storage charges @1.5% of the order value per month will be charged by HIFAB
(h) Once the goods are delivered to site and the installation cannot be done due to site conditions, the Buyer shall
be responsible for proper storage and safety of the products in good condition and HIFAB will not be responsible for
any loss or damage of the products. Any such damage or loss resulting in reproduction will be at extra cost payable
by the buyer.
(i) If finished goods of order are lying at factory for more than 90 days of intimation of production to The Buyer,
then HIFAB will be entitled to forfeit all the advances paid and recovery of recovery of all costs and incidental
expenses (Net of Scrap value of windows) from the buyer.
(j) The Buyer agree that HIFAB will not be liable for any delay which arises from Force Majeure reasons and causes
beyond its control for example, fire, floods, riots, earthquake, civil disturbances, strikes, criminal damage, acts of
war, government restrictions, shortage of labour and non-availability of material.
INSTALLATION AND HANDOVER
(a) Accommodation to be provided by the client to our erection team within site area in out stations locations.
(b) The Buyer will be responsible for timely obtaining any planning consents, permissions, road permits, and
approvals and/or to complete any work required before/for the installation at The Buyer cost. The Buyer will also be
responsible for notifying HIFAB of any special conditions or restrictions which apply to The Buyer’s site/premises that
restricts the installation of windows/doors.
(c) The old doors and windows will be removed and disposed of from the site by the Buyer. In case HIFAB agrees to
undertake the same, then it will be on chargeable basis at the rates agreed at the time of order booking.
(d) The Buyer must ensure that The Buyer’s belongings including and /or any cables, aerials, alarms, radiators,
security grills, curtains and blinds etc. are removed and the area used by the installers to work needs to be clear
and workable.
(e) All HIFAB products are installed from inside of the building. If any scaffolding is required for installation, The
Buyer will arrange for the same in advance at The Buyer’s cost.
(f) HIFAB Windows and Doors are finished products and should be installed after brickwork, plaster, POP and flooring
etc. If the sills are of granite or marble, HIFAB windows should be installed after curing of the sill. In some cases,
the sill can break during drilling if improperly fixed. In such cases, HIFAB shall not be responsible for the same.
(g) All reasonable skill and care and approved working practices shall be used by HIFAB during installation of the
products. If case of any damage caused due to installation which is directly attributable to HIFAB, HIFAB will repair
its work.

adequately. Any damage or breakage to HIFAB materials done by anyone including other vendors at site like
painter, plumber, electricians, mason, etc. will be replaced at The Buyer’s cost only. HIFAB shall not be responsible
for any inherent delays in arranging such replacement parts.
(i) HIFAB will not be liable for any damage to products after installation by third party workmen. Any
remedial/rectification works required due to third party damage, will be charged for and payment will be received in
advance for the same.
() One time cleaning provided only after client’s confirmation if required. Second time cleaning will be chargeable.
DELIVERY/TRANSPORTATION
(a) The freight charges for delivery of material to site in a single lot have been considered as per the size of the
order. If case, the Buyer desire deliveries in multiple lots after placing the order, additional freight charges shall be
applicable. If smaller lots are desired by The Buyer for priority shipment, full truck load charge along with additional
packing charges will be applicable.
(c) Since deliveries are made to the site in trucks and there are restrictions of truck movement in the city, the
basis.
(b) For outstation site (city/state) freight charges and insurance charge will be charged extra at actual on “TO PAY”
deliveries can be made only in permissible hours.
(d) Once products are delivered, The Buyer will be responsible for safety and security of material till installation. In
case of any damage or loss, replacement shall be charged to the client. HIFAB will not be responsible for any
inherent delays in arranging such replacement parts.
PAYMENT
(a) In all cases, 100% payment has to be made before goods are shipped from factory. Where only a deposit has
been paid, no manufacturing shall commence, until the balance has been paid in full. Where there is a delay in
payment being received, the time schedule will not be binding on HIFAB and any quoted delivery times will also be
extended to reflect the period of the delay. The Buyer will adhere to the payment schedule in all respects.
(b) Any change in Taxes & Duties will be borne by the customer.
WARRANTIES
(a) HIFAB warranties to repair or replace (at its sole discretion and judgment) free of charge for 2 years on
hardware and 10 years on surface finish treatment done on the Aluminium / UPVC profiles from the date of
installation; if there is a visible manufacturing defect in the Aluminium / UPVC profile or profile part or hardware
used in manufacturing of windows/doors.
(b) HIFAB” warranty will not apply and does not extend to :-
. Any product for which The Buyer have not paid the total sales price.
. Damage caused deliberately or because of serious human error.
. Damage caused by circumstances beyond one’s control, such as fire, floods, earthquake, civil war, terrorism,
sabotage, riots, strikes, lock outs, volcanic eruptions etc.
. Direct or indirect consequences of explosions, development of heat over 80+c, radioactivity, ionic radiation,
poisonous, explosive or dangerous nuclear fuel or waste.
. All damage to the surface treatment due to non-non observance of processing and maintenance regulations etc.
. Normal wear and tear or ageing in regular use.
. Deformations of mechanical origin;
. Cleaning with liquids or by contact with liquids or materials which the surface treatment cannot chemically resist.
. Damage due to the improper use of the Aluminium / UPVC constructions;
. Irresponsible delay in the execution of repairs or possible preventive touching-up which was decided on as a result
of inspections, controls or
. Direct or indirect damage as a result of the development of cracks, bursts or corrosion in the Aluminium / UPVC
constructions which were deformed or bent after the application of painting or anodizing;
. Damage due to contact with materials, such as certain metals (copper, lead … ) and lime or cement which are very
alkaline and which can permanently damage the surface;
. When third parties, without explicit prior acceptance by HIFAB expressed in writing, have carried out work on the
Aluminium / UPVC constructions;
. Any defects arising from wear and tear, willful or accidental damage, negligence, neglect, misuse, breakages,
scratches, structural or latent defects or causes beyond our control.
. Any product where work has been carried out by others outside HIFAB Building Systems.
. Damage caused due to weather and environmental conditions.
. Window/Door is refitted or tampering with installation in any manner.
. Use of goods contrary to our recommendations.
. Any glass brakeage after successful unloading (unloading after client’s confirmation) at site.
Subject to the above, HIFAB may agree to transfer warranty to a new owner of The Buyer’s premises following a
chargeable inspection and payment of fees as determined by us at HIFAB discretion.
ARBITRATION AND JURISDICTION FOR DISPUTES
(a) In the event of any dispute or difference regarding the interpretation of the terms and conditions govering the
Contract and/ or supply of the products under this Contract or any other allied or related matters, is not resolved
mutually within a reasonable way and reasonable time, it is agreed that the same shall be dealt with by legally
binding Arbitration & Mediation as per the provisions of Arbitration & Conciliation Act 1996.
(b) HIFAB will ask the IIAM (Indian Institute of Arbitration & Mediation) to appoint an Arbitrator whose decision shall
be final and binding on the parties to this contract legally.
(c) The place of Arbitration will be at Ahmedabad and all disputes between the parties shall be subject to the
Jurisdiction of Courts at Ahmedabad only.
I hereby accept the estimate as per above mentioned price and specifications. I have read and understood the terms
& conditions and agree to them.
